Terms of Service

1. Acceptance of Terms

TruProx ("we," "our," or "us") provides software development and consulting services. By accessing our website or hiring us for services, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind such entity.

2. Description of Services

We provide custom software engineering, design, and consulting services ("Services"). The specific scope of work for any project will be governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW) signed by both parties. In the event of a conflict between these Terms and an MSA/SOW, the MSA/SOW shall control.

3. User Accounts & Security

Access to certain client portals may require an account. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use.

Our IP: Our website, branding, and pre-existing code libraries remain the exclusive property of TruProx.

Client IP: Upon full payment, custom code written specifically for your project is assigned to you, as detailed in your specific Statement of Work. We do not claim ownership of your business logic or data.

6. Limitation of Liability

To the maximum extent permitted by law, TruProx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of or in connection with our services.

7. Termination

We reserve the right to suspend or terminate access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

8. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of The Hashemite Kingdom of Jordan. Any disputes arising from these terms shall be resolved through binding arbitration in Amman, Jordan, unless otherwise agreed upon in writing.
